| 摘 要： | 国有股减持虽然停止，但它一直是各界关注的焦点。本文在分析现有四种主要减持模式的基础上，阐述了我国国有企业经营困难的症结所在，提出了把部分国有股转化为无期限可转换债券的建议，并探讨了这种方案的优点以及实施该方案过程中应注意的问题。

| Abstract: | Though the reduction of state-owned shares has stopped, the discussion on it from all circles has never stopped. Based on the analysis of four reduction modes, the paper discusses the very crux that Chinese state-owned enterprises face, and puts forward the suggestion of turning some state-owned shares into undated convertible bond. Advantages of this scheme and questions in implementation have also been analyzed. |
