| 摘 要： | 法院对基础合同虚假之保理合同效力认定存在裁判分歧。保理合同不同利益主体诉求的差异性、立法与司法的差异性以及司法裁判正义价值目标的实现都要求在裁判中进行充分的利益衡量。司法裁判应在利益衡量方法与价值判断的指引下,在明确保理合同与基础合同相对独立、探寻当事人真实意思表示的基础上,通过区分通谋虚假意思表示的内外效力、统一"强制性"规定对保理合同效力影响的司法认定路径、类型化适用基础合同虚假时民事责任承担的规则等方面来重塑基础合同虚假之保理合同效力认定的裁判路径。

| Abstract: | There are some ambiguities in the court judgment on the determination of the validity of the factoring contract when the underlying contract is false. The difference of the appeal of different interest subjects in factoring contract, the difference between legislation and judicature, and the realization of the value goal of justice in judicial adjudication all require sufficient interest measurement in adjudication. Under the guidance of interest measurement method and value judgment, judicial adjudication should make clear the relative independence of factoring contract and basic contract, and explore the true expression of the parties'' intention. Judicial judgment should reshape the judgment path of determining the validity of factoring contracts with false basic contracts by distinguishing the internal and external effects of conspiring to express false intentions, unifying the judicial determination path of the influence of "mandatory" provisions on the validity of factoring contracts, and classifying the applicable rules of civil liability when the basic contracts are false. |
